The following Terms of Use constitute a legal Agreement between you, the visitor, and Golden Link Plus, the platform owner ("GOLD", "We" or "Us") and governs your use of the GOLD Social Media Platform (the "Platform"). Please read this Agreement carefully before using or registering for the platform. For purposes of this Agreement, by using or registering for the platform, you agree to the terms and conditions of this Agreement. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT USE OR REGISTER FOR THE PLATFORM. YOU SHOULD REVIEW THE TERMS FREQUENTLY AS GOLD MAY CHANGE THIS AGREEMENT AT ANY TIME BY POSTING A REVISED VERSION. YOUR CONTINUED USE OF THE PLATFORM AFTER SUCH NOTICE CONSTITUTES YOUR CONSENT TO THE TERMS OF THE AGREEMENT INCLUDING UPDATED AND REVISED VERSIONS.
DESCRIPTION OF PLATFORM
Golden Link Plus is a social media marketing platform where businesses and marketers join forces to earn big profits from promoting products and services. GOLD is global with business and marketers connections in the U.S., China and many countries.
With the business social media & digital marketing intermediary function, GOLD is providing:
GOLD allows a piece of code to be placed on websites and applications that allow for the use of social media functions in live audio events, GOLD allows business or marketers to communicate in events, share offers, branding and link to active offers or make conversion sales immediately. The GOLD platform will allow you to create an on-going connection between other users.
Social Media / User Acknowledgment
As a social media platform, both GS and Business hereby promise and agree to follow all applicable laws and regulations, and in the event that either party violates such legal rights of the other party, Parties agree that they will attempt to resolve the matter directly between themselves, if needed and requested, then GOLD will assist in a speedy and fair resolution of the issue.
During the resolution of any such issues, GOLD will cooperate as needed with all federal, state and local authorities and will release as required by law any content as needed to the opposing party. Any such violations will generate no legal obligation with respect to GOLD.
FRAUD AND PROHIBITED ACTIVITIES
The primary purpose of this site is for business activities, where a positive and supportive marketplace is created for everyone to use and benefit; fair comments and reviews of products, services, brands, and marketing campaigns are necessary and encouraged. Cyberbullying, hate speech, political attacks, personal attacks, religious attacks, racial attacks, and derogatory or offensive comments, posts, written or verbal, will not be tolerated. Any such activities will result in your removal from the site and will be subject to the potential loss of all membership privileges and benefits. GOLD is under no obligation to provide any further warnings regarding removal from the site.
You agree to not use the GOLD platform for any purpose contrary to local, state, or federal laws, statutes or regulations applicable to you, including without limitation, those concerning fraud, criminal activity, financial platforms or consumer protection.
You agree to use the platform in a manner consistent with applicable laws and regulations. You will provide information in your profile, events’ campaigns, or communications or related information that is only correct. You are solely responsible for your interactions with other members. Please use caution and common sense in your interactions with other members. Gold will verify Members identities as needed and confirm as verified, and will post as verified. GOLD DOES NOT CONDUCT BACKGROUND CHECKS ON THE PLATFORM MEMBERS; HOWEVER WE RESERVE THE RIGHT TO CONDUCT VERIFICATION AND CRIMINAL BACKGROUND CHECKS AND SCREENINGS AT ANY TIME IF WE DEEM NECESSARY. GOLD reserves the right, but has no obligation, to monitor disputes between you and other members as well as all other activity involving you and / or other members that takes place on and through the platform.
You are solely responsible for the content and information you publish or display ("post") on the platform. You will not post on the platform, or transmit to other members or to GOLD, any defamatory, intentionally inaccurate, abusive, obscene, profane, offensive, sexually suggestive, threatening, harassing, racially discriminatory, or illegal material, or any material that infringes or violates another party’s rights (including intellectual property rights and rights of privacy and publicity). You will not post any photos containing nudity, profanity, or personal information. GOLD reserves the right, but has no obligation, to reject any profile or photo that does not comply with the prohibitions set forth in this section and to otherwise remove content from the platform in our sole discretion.
If you are using the platform for a business or marketing service, you agree to these Terms and Conditions which will be treated as the agreement of the business , marketers and all references to "you" and "your" will apply to that business or marketing service as well as you, an individual. GOLD business marketing campaigns may be shared on other social media platforms or influencer sites, apps for marketing campaign issues which are not owned or controlled by GOLD. When you visit any third-party website which has enabled the platform, your use of the platform is governed by the GOLD’s Terms and Conditions Agreement as well as that web site’s terms of use, should they have one posted.
The following is a partial list of the types of actions that are prohibited under this Agreement:
You will not harass or impersonate any person or entity. You will not utilize false or multiple identities to access the platform, or to return to the platform if We have prevented You from doing so. You will not harass, solicit, or harm any member based on the information that has been displayed by means of the platform. You will not promote prostitution or solicitation thereof and will not request or make any references to a maintenance agreement of any kind with another member. You will not use any manual or automatic device or process to retrieve, index, data mine, or, in any way reproduce or circumvent the navigational structure or presentation of the platform or its contents. You will not imply that any of Your statements are endorsed by GOLD without GOLD’s prior written consent. You will not interfere with or disrupt any portion of the platform or related servers or networks connected to the platform. You will not post, distribute or reproduce, in any way, any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights. You will not remove any copyright, trademark or other proprietary rights notices
contained in the platform or forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the platform. You will not modify, adapt, translate, sell, rent, reverse engineer, decipher, decompile or otherwise disassemble any portion of the platform or any software used on or for the platform or cause or enable others to do so. You will not post, email or otherwise transmit via the platform any material that contains software viruses or any other computer code, files or programs designed to interrupt, harm or limit the functionality of any computer software or hardware.
CONTENT AND INTELLECTUAL PROPERTY
GOLD provides the environment to connect Business and marketers. All the content on GOLD that may be provided by business to GS for marketing purposes, the Business acknowledges and understands that they must have legal and valid copyright ownership of such data, and any additional data produced on the platform in any form becomes the property of the platform (GOLD).
Businesses and GS marketers agree that all GOLD content is owned by or licensed to us, subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. The platform is provided to you AS IS and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of GOLD. GOLD reserves all rights not expressly granted in and to the GOLD content. You agree to not engage in the use, copying, or distribution of any of the GOLD Content other than as expressly permitted herein. If you download or print any GOLD Content for personal use, you must retain all copyright and other proprietary notices contained therein. You agree not to circumvent, disable or otherwise interfere with security related features of the platform or features that prevent or restrict use or copying of any GOLD Content or enforce limitations on use of the GOLD platform or content.
PAYMENTS AND FEES
Businesses and GS Marketers use Golden Link Plus platforms to promote their products or services. You pick and pay for the services GOLD provides on the platform. You must comply with all applicable laws, regulations and guidelines when promoting your business or engaging in marketing. We have the rights to change the Fee’s, please check the Terms and Conditions and Price Policies frequently.
Some GS marketers and Businesses pay an annual fee to become a GOLD member.
Business agrees to pay GOLD for all marketing offers published on GOLD, its assignee and/or GS marketer, on a CPA, CPC, CPS, CPL, CPI basis (Cost Per Acquisition or Cost Per Click, Cost Per Sale, Cost Per Lead, Cost Per Installation) in accordance with the terms of conditions on GOLD. All such actions, acquisitions, clicks, sales and/or other form of payable events herewith shall be referred to as “Actions”.
Business agrees to pay in advance for any business events and there will be no chargebacks allowed once the campaign is set up, and once the GCoin promotions and rewards have been spent, then there is no chargeback.
Business and GS Marketers know and agree upon the ad offer, if either is unable to provide conversion information, or intentionally deletes the tracking pixels; and/or GOLD’s tracking system fails to report Actions or reports less Actions than the actual amount, then business or GS Marketer agrees to pay GOLD based on an estimate to be negotiated in good faith by the parties based on the data available to both parties.

Business and GS marketer agrees to pay all costs incurred by GOLD including, but not limited to, collection agency and attorneys' fees and costs, as a result of having to enforce these Terms and Conditions.
We reserve the right to terminate any account that generates high levels of spam complaints.
The GOLD email system is used for campaign purposes, such as notifications; invitations; verifications; etc.
Both Business and GS, agree to receiving emails from time to time from the GOLD platform to their personal or authorized Business account. Please add Support@Goldenlinkplus.com to your Contacts to avoid the Spam filter.
The GOLD Service allows users to connect with and invite others via their email contacts lists. The names and e-mail addresses of people whom they invite may be used to send invitations and reminders via email.
E-MAIL CONTACTS
In order to connect with others on the GOLD social media marketing platform, businesses may use the GOLD system to start marketing campaigns by selecting a GS to join. You acknowledge and agree that this may cause the GOLD email system to send invitations to invite GS marketers to join the marketing campaign.
NOTIFICATION OF CLAIMED INFRINGEMENT
If you believe that your work or the work of another has been copied in a way that constitutes copyright infringement or infringes on any other intellectual property right, GOLD has a process in place to respond to your concerns. GOLD respects the intellectual property rights of others and this Agreement prohibits users from uploading or otherwise displaying any materials that violate another party’s intellectual property rights. When GOLD receives proper notification of alleged copyright infringement, GOLD will promptly remove or disable access to the allegedly infringing material. GOLD will also terminate the accounts of any repeat alleged infringers in accordance with the Digital Millennium Copyright Act. If you believe that any material on GOLD websites infringe upon any copyright which you own or control, you may send a written notification of such infringement and include: a) information in sufficient detail to identify the copyrighted work or intellectual property that you claim has been infringed so that we can locate the material; b) the electronic or physical signature of the owner of the copyright or a person authorized to act on the owner’s behalf; c) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; d) information to identify the copyrighted work claimed to have been infringed or if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site; e) a representation that the information contained in your notice is accurate and that you attest under the penalty of perjury that you are the copyright owner or that you are authorized to act on the copyright owner’s behalf; and f) your name, mailing address, telephone number and email address. You may submit a notification of alleged copyright infringement by email to support@goldenlinkplus.com.
Upon receipt and verification, GOLD will remove and / or disable access to the allegedly infringing material.
THIRD-PARTIES
By using the GOLD platform you may enable other users to easily share information with others through social media and other third-party web sites. Likewise, if you are a user of a site or app that incorporates GOLD, you may be able to easily share information with others through third-party web sites.
Other sites may also offer ways to manage the information you share with GOLD (you should check those websites for details). Users of any site or app powered by GOLD are responsible for managing their social media Connect settings in their respective accounts as well as their respective privacy settings in and on other social media which will determine their control over the information that is shared and who it is shared with.
YOUR USER CONSENT
You represent and warrant that the information posted in Your profile or that you post on other portions of the platform that are made available to other users or to the public, including your photograph, is posted by you and that you own or have all rights necessary to post such information. You are solely responsible for your user content and the consequences of posting or publishing it. You grant to GOLD a non-exclusive, royalty-free, sublicensable, perpetual and irrevocable right and license to use, reproduce, modify, distribute, prepare derivative works of, display, publish, perform, transmit and access your user content including your photograph in connection with the operation of the GOLD web site and the platforms in any media formats and through any media channels including third-parties, and you grant to each other GOLD user a similar non-exclusive license to access and use your user content through the GOLD site. You represent and warrant that you own or have the necessary licenses, rights, consents, permissions and releases to grant the foregoing licenses.
TERMINATION OR MODIFICATION
GOLD reserves the right, at any time, to modify, discontinue or terminate the GOLD site or modify or terminate these Terms and Conditions or the GOLD Privacy Policy, without advance notice. If any modification is not acceptable to any GOLD user or member, including you, your only recourse is to cease using the GOLD platform. By continuing to use the GOLD platform after any such modifications, you accept and agree to be bound by such modifications. Without limiting other remedies, GOLD may, at any time, suspend or terminate your access to the GOLD platform and web site without notice to you if GOLD determines, in its discretion, that you have failed to comply with any provision of these Terms and Conditions. You may terminate your GOLD account by sending an email to support@goldenlinkplus.com.
If Business desires to terminate any campaign, or this entire agreement, then Business shall provide the following to GOLD:
To terminate any campaign, first complete any pending obligations to GS for that campaign, do not make any new deposits, and inform GOLD in writing or via email that your campaign is being terminated.
Without any notice, then Business will need to make proper payments to affected GS Marketers, without any further dispute.
In order to close each campaign/offer link, GOLD will charge a $10 fee for each link that is closed.
Business shall remain liable for all costs incurred prior to written termination.
INDEMNIFICATION
You agree to defend, indemnify and hold GOLD and its affiliates, subsidiaries and distribution partners and their respective officers, directors, employees and / or agents harmless from and against any claims, liabilities, damages, losses and expenses, including, without limitation, reasonable attorneys’ fees and costs, arising out of or in any way connected with: (i) your access to or use of the GOLD platform, GOLD content or user content; (ii) your violation of this Agreement; (iii) your violation of any third-party right, including, without limitation, any intellectual property right, publicity, confidentiality, property or privacy right; or (iv) any claim that your User Content caused damage to a third-party, including, without limitation, claims that your user content is infringing.
Business agrees to indemnify, defend, and hold harmless GOLD, its parents, successors, subsidiaries, and GS marketers, and their respective directors, officers, agents and employees for any claims, liabilities, costs and expenses (including reasonable attorney’s fees) made against GOLD by a third party or parties or a government agency as a result of: (i) any breach of the terms of this Agreement, including but not limited to the foregoing representations and warranties; (ii) any claim arising from the sale or license of Business’s goods or platforms; (iii) any violation of an applicable law, rule, or regulation by Business; or (iv) any other act, omission or misrepresentation by Business. GOLD agrees to indemnify, defend and hold harmless Business, its parents, successors, and subsidiaries, and their respective directors, officers, employees (the “Business Indemnified Parties”) for any claims, liabilities, costs and expenses (including reasonable attorney’s fees) made against the Business by a third party or parties as a result of acts of gross negligence or willful misconduct by GOLD. The indemnifying party may participate in the defense of the indemnified party at its own expense.
DISCLAIMER OF WARRANTIES
THE GOLD SITE AND ALL CONTENT MADE AVAILABLE THROUGH THE GOLD platform IS PROVIDED "AS IS" AND "AS AVAILABLE" WITH NO WARRANTY OF ANY KIND. GOLD EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE GOLD SITE AND SUCH CONTENT, INCLUDING ANY IMPLIED WARRANTY OF QUALITY, AVAILABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. IN ADDITION, GOLD MAKES NO REPRESENTATION OR WARRANTY THAT THE GOLD SITE OR ANY SUCH CONTENT WILL BE ERROR FREE OR THAT ANY ERRORS WILL BE CORRECTED. SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
Both parties provide all platforms performed hereunder "AS IS'' and hereby expressly disclaim all warranties, expressed or implied, regarding their platforms or any portion thereof, including any implied warranty of merchantability or fitness for a particular purpose and implied warranties arising from course of dealing or course of performance. Without limiting the generality of the foregoing, both parties specifically disclaim any warranty regarding: (1) the number of individuals who will see the content; and (2) any benefits that the other party might obtain from the campaign. Neither party guarantees a continuous or uninterrupted platform to the campaign.
LIMITATION OF LIABILITY
UNDER NO CIRCUMSTANCES WILL GOLD OR ITS AFFILIATES, SUBSIDIARIES, PARTNERS OR LICENSORS OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND/OR AGENTS BE LIABLE TO YOU OR ANY THIRD-PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH USE OF THE GOLD WEB SITE AND platform OR ANY CONTENT MADE AVAILABLE THROUGH THE GOLD SITE, INCLUDING WITHOUT LIMITATION, INJURY OR DAMAGES RESULTING FROM THE CONDUCT OF ANY GOLD SITE USER, ONLINE OR OFFLINE, WHETHER OR NOT GOLD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, GOLD’S AGGREGATE LIABILITY TO YOU ARISING WITH RESPECT TO THESE TERMS OF platform WILL NOT EXCEED $1. GOLD WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY ERRORS OR ANY SCHEDULED OR UNSCHEDULED platform INTERRUPTIONS RELATING TO THE GOLD SITE OR platform. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.
In no event shall either party be liable for any special, direct, indirect, incidental, actual, punitive or consequential damages, or for interrupted communications, lost data, lost revenue or lost profits arising out of, or in connection with this insertion order. Under no circumstances shall either party be liable to the other party or any third parties for an amount greater than the amounts received from Business pursuant to this insertion order.
FORCE MAJEURE
GOLD will not be liable to you for any loss or damage due to any failure or delay in performance on account of events beyond its reasonable control, which may include, without limitation, denial-of-platform attacks, fires, flood, storm, explosions, acts of God, war, terrorism, governmental action, earthquakes, or Internet connectivity or failure issues experienced by major telecommunications providers or a GOLD hosting facility, for the duration of such event and for such further period of time that GOLD may reasonably require to recover from the effects of such event.
NOTICE, CONSENT TO ELECTRONIC NOTICE
You consent to the use of (a) electronic means to complete these Terms and Conditions and deliver any notices pursuant to these Terms and Conditions, and (b) electronic records to store information related to these Terms and Conditions on the platform or your use of the GOLD site or platforms. Any notice or other communication to be given hereunder will be in writing and given either (a) by GOLD via email (in each case to the address that you provide), (b) a posting on the GOLD Site or (c) by you via email to support@goldenlinkplus.com or to such other addresses as GOLD may specify in writing. The date of receipt will be deemed the date on which such notice is transmitted. At no time shall business or GS engage in any activity on the platform, or other related platforms, which is considered false, misleading, deceptive or malicious, this includes all posts, campaigns, or other comments written or verbal which serve to defraud either GOLD or other customers on the platform.
JURISDICTION
In the unlikely event that we are unable to resolve a complaint you may have to your satisfaction (or if we have not been able to resolve a dispute it has with you after attempting to do so informally), you and GOLD each agree to resolve those disputes through binding arbitration or in small claims court, rather than proceeding in a court of general jurisdiction. You and GOLD further agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
This Agreement is governed by and construed in accordance with the laws of the State of California USA without regard to conflict of laws principles.
This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of California, without regard to its conflict of laws rules. If any legal action is required to enforce this contract, such will be filed with a court in or near Los Angeles, California. The parties are independent contractors and no agency, partnership, joint venture or employer-employee relationship is intended or created hereby. This insertion order sets forth the entire understanding and agreement of the parties and supersedes any and all prior oral or written agreements or understandings between the parties as to the subject matter and may be changed only by a subsequent writing signed by both parties. Unless otherwise stated, this insertion order is non-exclusive to either party and either party shall have the right to enter into similar agreements with other third parties. The parties hereby represent and warrant that they shall at all times fully comply with all applicable state and federal statutes, rules and regulations with respect to their respective businesses including, without limitation laws governing deceptive trade practices.
DISPUTES
For all One-time payments, Commissions, CPC GCoins, GCoins Reward, GCoins drops, All Membership payments, any Recharge, and any Offer disputes, in these scenarios GS or Business agrees and understands not to dispute, not to challenge following successful completion of these transactions. When a dispute arises between Buyers and Business, If Business wishes to reclaim the commission back, then in this circumstance business must provide enough evidence to support this claim, until the GOLD platform approves, at such time, then GS agrees to quickly pay back the disputed amount back to GOLD.
If you have a dispute with one or more members on the GOLD platform, the issue or issues exist between yourself and those member(s). You release GOLD (and Our officers, directors, agents, subsidiaries, joint ventures, licensees, and employees) from any liability, claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way related to such dispute.
GS agrees and understands that different regions have different return policies, All GOLD businesses have a return window of 30 days for completion, due to this, GS acknowledges and agrees to a maximum wait time of 60 days (to allow sufficient time for GOLD to complete the resolution process with Business).
Business acknowledges and agrees that whatever their return or dispute policy may currently be, to accept and follow the GOLD resolution (Dispute) duration maximum of 30 calendar days.
ASSIGNMENT
GOLD may assign all or a portion of its duties and obligations hereunder to any GS marketer, or Business their successor and/or any other third party. Subject to the foregoing, these Terms and Conditions will be fully binding upon, inure to the benefit of and be enforceable by the parties’ respective successors, heirs, executors, administrators and permitted assigns.
5. CREATIVE CONTROL:
Business or GS will be solely responsible for creating, managing, editing, reviewing, cancelling and otherwise controlling the advertising banners, display creatives, text advertisements and other materials issued on GOLD. Business and GS acknowledges that GOLD is acting only as a passive distributor of such content. GOLD has no obligation to Business, or GS, regarding the content of advertisements Business or GS places with GOLD. GOLD undertakes no responsibility to review the content, or any GS marketer-generated content, to determine whether any such content may result in liability to third parties.
9. CONFIDENTIAL INFORMATION:
Neither Business, GS nor GOLD shall disclose or use the other party’s confidential information for any purpose other than the purposes contemplated by this agreement, unless such disclosure or use is allowed by written permission of the other party. However, either party may disclose the other party’s confidential information to the extent required by applicable law, but only after five (5) days prior written notification to the other party of such required disclosure. Businesses and GS confidential information shall remain the property of Business, and GS, respectively, GOLD’s confidential information shall remain the property of GOLD.
10.MISCELLANEOUS
In the event that any provision in these Terms and Conditions is held to be invalid or unenforceable, the unenforceable part will be given effect to the greatest extent permitted by law and the remaining provisions will remain in full force and effect to the maximum extent permitted by law. The failure of a party to enforce any right or provision of these Terms Of Condition will not be deemed a waiver of such right or provision. These Terms Of Condition together with the rules and policies of GOLD are incorporated herein by reference constitute the entire agreement between GOLD and you with respect to your use of the GOLD Site.
